1. Acceptance of Terms

By accessing or using the AAG Creator Engine platform ("Service"), operated by WALTHER Holding ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and WALTHER Holding governing your use of the AAG Creator Engine, including all features related to TikTok content posting, asset management, compliance automation, and analytics.

2. Description of Service

AAG Creator Engine provides a software platform that enables authorized users to:

• Publish video content to TikTok via the official TikTok Content Posting API;
• Automate commercial disclosure and branded content tagging in compliance with TikTok platform policies;
• Manage and orchestrate digital media assets (videos, thumbnails, metadata) through a centralized pipeline;
• Schedule content for publication at designated times;
• Retrieve and display performance analytics through TikTok's Display API.

The Service operates as a third-party integration layer and does not replace, modify, or circumvent any functionality provided by TikTok. All interactions with TikTok's platform are conducted through officially sanctioned API endpoints.

3. User Accounts and Authentication

Access to the Service requires authentication via OAuth 2.0 through TikTok's authorization framework. By linking your TikTok account, you authorize AAG Creator Engine to perform actions on your behalf within the scope of permissions you grant during the OAuth flow.

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You may revoke the Service's access to your TikTok account at any time through TikTok's account settings. WALTHER Holding does not store TikTok passwords at any point during or after the authentication process.

4. Content Posting and Responsibilities

You retain full ownership of all content you upload, create, or publish through the Service. By using the Service to post content to TikTok, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions for the content;
• Your content does not violate TikTok's Community Guidelines, Terms of Service, or any applicable laws;
• Any commercial or sponsored content is properly disclosed using the Service's Commercial Disclosure Sync feature;
• You comply with all applicable advertising regulations, including FTC endorsement guidelines.

WALTHER Holding is not responsible for content that violates TikTok's policies or results in account restrictions, penalties, or suspensions imposed by TikTok.

5. API Usage and Rate Limits

The Service operates within the rate limits and usage quotas established by TikTok's Developer Platform. You agree not to attempt to circumvent, bypass, or exceed these limits through any means, including but not limited to creating multiple accounts, using automated scripts outside the Service, or manipulating API requests.

WALTHER Holding reserves the right to throttle, suspend, or terminate your access to the Service if your usage patterns risk violating TikTok's API terms or jeopardize the platform's standing with TikTok's Developer Program.

6. Data Handling

The Service processes content and metadata in-transit for the purpose of facilitating publication to TikTok. Video assets uploaded through the pipeline are transmitted directly to TikTok's Content Posting API and are not permanently stored on WALTHER Holding's infrastructure.

Analytics data retrieved from TikTok's Display API is cached temporarily to provide performance reporting and is subject to the data retention policies described in our Privacy Policy. Metadata associated with published content (titles, descriptions, posting timestamps) may be retained for up to 90 days to support analytics and audit functionality.

7. Intellectual Property

The AAG Creator Engine platform, including its design, interface, codebase, documentation, and all associated intellectual property, is owned by WALTHER Holding and protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. This license does not grant you any rights to the Service's source code, underlying technology, or proprietary algorithms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALTHER HOLDING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

WALTHER Holding's total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to WALTHER Holding during the twelve (12) months preceding the event giving rise to the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

9. Termination

Either party may terminate this agreement at any time. You may terminate by discontinuing use of the Service and revoking OAuth access through your TikTok account settings. WALTHER Holding may terminate or suspend your access immediately, without prior notice, for conduct that violates these Terms, TikTok's Developer Guidelines, or applicable laws.

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections relating to intellectual property, limitation of liability, and governing law shall survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WALTHER Holding is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in WALTHER Holding's principal place of business.
